Terms of Service

These Terms of Service (the "Terms") govern access to and use of the websites, products, and services (the "Services") provided by Social Physics Lab, Inc. ("Social Physics Lab," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you or your organization have entered into a separate written agreement with us covering the Services, that agreement controls to the extent it conflicts with these Terms.

Social Physics Lab provides software and related services, including Hyperstition. The Services may be made available on a limited or invitation basis. We may modify, suspend, or discontinue any part of the Services at any time. Where reasonably practicable, we will give notice of material changes that adversely affect you.

We may suspend or limit access to the Services where we reasonably believe these Terms have been violated or where necessary to protect the Services or their users.

4. Your Content

You retain all rights in the data and materials you submit to the Services ("Customer Content"). You grant us a limited license to host, store, process, and display Customer Content solely as necessary to provide and maintain the Services, to comply with law, and as otherwise instructed by you. You are responsible for Customer Content and for ensuring you have the rights necessary to provide it. Our handling of personal information is described in our Privacy Policy.

5. Intellectual Property

The Services, including all software, designs, text, and other content we provide, and all associated intellectual property rights, are owned by Social Physics Lab or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. No rights are granted except as expressly set out in these Terms.

If you provide suggestions or feedback about the Services, we may use that feedback without restriction or obligation to you.

6. Fees

The Services are currently provided without charge. We may introduce fees for some or all of the Services with reasonable prior notice. Continued use of a paid feature after fees take effect constitutes acceptance of those fees.

7. Termination

You may stop using the Services and request account closure at any time by writing to support@socialphysics.inc. We may suspend or terminate your access to the Services for material breach of these Terms, where required by law, or upon discontinuation of the Services. Upon termination, your license to use the Services ends. Sections 4 through 12 survive termination to the extent applicable.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIAL PHYSICS LAB DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIAL PHYSICS LAB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (US $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

10. Indemnification

You will defend, indemnify, and hold harmless Social Physics Lab and its officers, directors, employees, and agents from and against any claims, damages, and expenses (including reasonable attorneys' fees) arising out of Customer Content, your use of the Services in violation of these Terms, or your violation of applicable law.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. The state and federal courts located in San Francisco County, California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and each party consents to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page with a revised effective date. For material changes, we will provide additional notice as required by applicable law. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

13. General

These Terms, together with the Privacy Policy and any separate written agreement between you and us, constitute the entire agreement regarding the Services. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
